Payment Policy

These Baselane Payment Terms (“Payment Terms”) are incorporated by reference into, and made a part of, the Baselane Terms of Use for Landlords (the “Landlord Terms”) and the Baselane Terms of Use for Tenants (the “Tenant Terms”). Capitalized terms used in these Payment Terms, but not defined, have the meanings given in the Landlord Terms or the Tenant Terms, as applicable. These Payment Terms apply to your use of any of Baselane’s Services for which payment is required or through which payment is made (“Paid Services”), as indicated by Baselane, including on or through the Services (including without limitation the payment of rent and the Service Subscription (defined below)). Please read these Payment Terms carefully. For the avoidance of doubt, your use of Paid Services is also governed by the Landlord Terms and Tenant Terms, except that, if there is a conflict between the Landlord Terms or Tenant Terms and these Payment Terms, these Payment Terms will govern to the extent of the conflict with respect to the Paid Services only. All capitalized terms not defined herein shall have the meaning given in the Landlord Terms and Tenant Terms.

BY ACCESSING OR USING PAID SERVICES, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF PAID SERVICES, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS. IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THESE PAYMENT TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE PAID SERVICES.

1. GENERAL TERMS

1.1. Payment of Fees. You agree to pay all fees or charges to your Account in accordance with the fees, charges and billing terms in effect at the time a fee or charge is due and payable.

1.2. Rent Payments. Tenants may be able to use the Services to make rent payment to participating Landlords for properties connected to the Services. In such an event, the payments will be processed in accordance with Section 1.3 and 1.4 of these Payment Terms. Please note that additional terms related to rent payment or collection through the Services are set forth in Section 4 below.

1.3. Payment Processing. You must provide a valid credit card (Visa, MasterCard, or any other issuer accepted by us) (a “Payment Provider”) as a condition to signing up for any part of the Services that requires payment, which may include without limitation signing up for a Service Subscription (defined below) or electing to use the rent payment feature (unless you opt to pay via ACH). Baselane uses Stripe, Inc. or its affiliates (collectively, “Stripe”) to execute online payment transactions using information you provide about your Payment Provider. When you execute Visa or Mastercard transactions, you agree to the Wells Fargo Financial Services Terms, and the BBVA USA Financial Services Terms. This may be updated from time to time. Any authorization you provide to make repeating automatic payments using the Service will remain in effect until canceled. Your Payment Provider agreement governs your use of the designated credit card or PayPal account, and you must refer to that agreement, not this Agreement, to determine your rights and liabilities. You agree to immediately notify Baselane of any change in your billing address or the credit card used for payment hereunder. Baselane reserves the right at any time to change its prices and billing methods, either immediately upon posting on or through the Services or by e-mail delivery to you. By providing Baselane with your Payment Provider information or any other banking, credit/debit card, or other payment information, you authorize us to use it and disclose it to Stripe or other payment gateway providers for the purpose of processing the payments you authorize on or in connection with the Services. Payment Providers may also aggregate your information for other purposes, but only in ways that don’t identify you personally or disclose any personal information about you, and may disclose your personal information when necessary to comply with the law.

1.4. Fraud; Remedies. You agree to, and acknowledge, our right to investigate any and all transactions for fraud, and you agree to cooperate with any reasonable requests made by Baselane in an effort to investigate any fraud. Furthermore, if any payment you initiate using the Services does not successfully complete for any reason, Baselane reserves the right to seek payment from you via or outside the Services. Without limiting the foregoing, Baselane reserves the right to seek reimbursement from you if Baselane discovers a fraudulent, erroneous, or duplicate transaction related to your Account, or, in the case of Landlords, if Baselane receives a chargeback or reversal related to any Tenant payments for one of your properties for which you use the Services. You agree that Baselane has the right to obtain such reimbursement by charging your Account, your credit card, or any bank account associated with your Account, or obtaining reimbursement by any other lawful means, including using a third-party collection agency. In addition, reimbursable amounts will incur interest at a rate equal to the lesser 1.5% per month and the maximum rate permitted under applicable law, and you will be responsible for reimbursing Baselane for all its cost of collection (including attorneys’ fees). Failure to pay for reimbursements of a chargeback or a reversal of payment is cause for termination of your Account. The rights and remedies set forth in this Section 1.4 shall be in addition to, and not in place of or otherwise limiting, any and all other rights and remedies of Baselane.

2. Free Trial. Some Paid Services start with a free trial period (the “Free Trial”), which shall have the duration set forth herein or otherwise indicated when you signed up for the Free Trial. The Free Trial period commences on the day you sign up for the applicable Paid Service. The Free Trial must be used within the specified time of the trial. BASELANE WILL BEGIN PROCESSING YOUR PAYMENT FOR THE APPLICABLE FEE AMOUNT AT THE END OF THE FREE TRIAL.

3. NO REFUNDS. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, ALL FEES FOR, AND PAYMENTS MADE TO OR THROUGH, THE SERVICES ARE NON-REFUNDABLE. BASELANE WILL NOT PROVIDE REFUNDS OR CREDITS FOR ANY REASON, INCLUDING WITHOUT LIMITATION ANY PARTIAL OR UNUSED PERIODS OF SERVICE. 4. ADDITIONAL TERMS RELATED TO RENT COLLECTION AND PAYMENT. As mentioned above, the Services may make available to you features and tools that you may be able to use to collect or pay rent for a property for which the Services are used. For example, Tenants can set up automatic, recurring payments to Landlords (each, a “Tenant Payment”), provided that both parties have linked their bank accounts, or, in the case of Tenant, by linking a credit or debit card to the Services. The following additional terms also apply to use of the Services in connection with rent payment or collection:

4.1. If Tenants choose to pay rent via the ACH network, a $2.00 convenience fee will be incurred (each, an “ACH Fee”). Payment of the ACH Fee will be determined by the Landlord as displayed to Tenant by the Services and will either be (i) paid by the Tenant as an added charge to each ACH Tenant Payment, (ii) paid by the Landlord and displayed to Tenant as a waived fee, or (iii) in certain circumstances, not charged by Baselane and displayed to Tenant as a waived fee. For clarity, in case (ii) where the ACH Fee is paid by the Landlord, the fee will be deducted from the total rent payment received from Tenant and paid to the Landlord; and case (iii) will only apply in the following situations: (a) the Landlord is collecting the rent payment into a Baselane banking account, or (b) Baselane has provided you with prior written notice that the ACH Fee will not be charged. Tenant acknowledges and agrees that (i) the applicability of the ACH Fee will be determined at the time the Tenant chooses to make a Tenant Payment without prior notice to the Tenant, and (ii) the applicability of the ACH Fee to prior Tenant Payments shall not be indicative of whether the ACH Fee will be applicable to future Tenant Payments. Additionally, if Tenants choose to pay rent via a debit or credit card, Tenants shall incur an additional 2.99% convenience fee (each, a “Card Fee”), which shall be based on, and added to, each Tenant Payment.

4.2. Baselane never takes custody of money transferred using the Services, and we are not responsible for what recipients do with the payments.

4.3. If a Tenant Payment is rejected for Non-Sufficient Funds (“NSF”), it will be the Tenant’s responsibility to initiate a new transaction or to make the Tenant Payment in some other manner and pay Baselane the NSF fee. It will be the Landlord’s responsibility to assess a late Tenant Payment fee, if any, to Tenant. Tenant will be required to pay the NSF fee, and any late fees assessed by the Landlord, on or before the initiation of any new ACH transaction through the Services. During the time that the Tenant makes Tenant Payments to the Landlord through the Services, both parties agree to ensure that all bank account and ACH information are up-to-date and accurate.

4.4. If a Tenant’s bank or card issuer initiates a reversal, chargeback, or payment dispute of a payment made to you, you authorize Baselane and our third-party payment processors to reverse or otherwise claim the funds from your account plus any interest charges accrued pursuant to Section 1.4 of these Payment Terms. Baselane may also initiate a reversal, or take other actions we determine to be appropriate, if, in Baselane’s reasonable opinion, fraud or abuse of the Baselane platform has occurred. In the event we are unable to reverse or otherwise debit funds from your account, you agree to promptly deposit such funds upon our request.

4.5. BASELANE IS NOT A COLLECTION COMPANY AND IN NO WAY GUARANTEES PAYMENT BY TENANT NOR DOES IT INHERIT THE RISK ASSUMED BY ANY PARTY IN RELATION TO ANY TRANSACTION PERFORMED THROUGH THE SERVICE.

5. ADDITIONAL PAID SERVICES. Baselane offers additional Paid Services that can be optionally purchased individually (“Additional Paid Service”). More details around Baselane’s Paid Services are set forth below in further detail, including for services provided on a subscription basis (a “Service Subscription”) and services provided for a one-time fee (a “Non-Recurring Paid Service”). By purchasing, enabling, or using any Additional Paid Service, you expressly agree to the terms and conditions laid out within this Section 5, along with any applicable Provider terms.

5.1. Third-Party Governance

5.1.1. Provider Terms of Service. Certain Additional Paid Services are delivered by or through a Provider who may require you to accept separate or additional terms of service (“Provider Terms”). You acknowledge that your use of a Third-Party Additional Paid Service constitutes acceptance of the applicable Provider Terms. Baselane neither controls nor endorses any Provider’s content, policies, or practices and disclaims any liability arising out of or related to your use of such services.

5.1.2. Relationship to Baselane. Providers are independent contractors. No partnership, joint venture, employment, or agency relationship exists between Baselane and any Provider. Baselane is not responsible for a Provider’s performance or compliance with applicable laws, nor does Baselane guarantee the accuracy, reliability, or completeness of any content, data, or services provided by a Provider.

5.1.3. No Legal Advice or Professional Services. Unless explicitly stated otherwise, neither Baselane nor any Provider is acting as a law firm, credit bureau, financial advisor, or other regulated professional service. Any documents, reports, or features offered by a Provider are for informational purposes only and do not constitute legal, financial, tax, or other professional advice.

5.2. Subscription Services. Fees associated with each Service Subscription (the “Service Subscription Fees”) are charged on a monthly basis, commencing on the date the Service Subscription commences (a “Subscription Month”). Service Subscription Fees for a particular Subscription Month are charged at the beginning of each month based on the enrolled Subscription Services at the beginning of such Subscription Month. Subscription Service Fees for Subscription Services added in the middle of a Subscription Month are prorated based on the remaining number of days in the Subscription Month and are charged when added.

a. Collaborator Access (Baselane Service)

            • Description: This service allows an existing Landlord to invite additional users (“Collaborators”) to access their Baselane account as outlined in our Help Center Article. The Landlord is responsible for paying for such users’ access.
            • Service Subscription Fees: US$5.00 per Collaborator per month

b. Rent Reporting (Third-Party Service)

            • Description: This service allows for the reporting of on-time tenant rental payments to all three major credit bureaus (Experian, Equifax, Transunion), offered via Boom Pay.
            • Service Subscription Fees: US$5.00 per tenant per month

c. Flexible Rent Payments (Third-Party Service)

            • Description: This service allows Tenants to pay rent on an alternative or more flexible schedule. Specific options, fees, or eligibility criteria may vary based on your location or credit profile. Flexible Rent Payments are offered via Livble.

5.2.1. Payment for Subscription Services. Baselane will begin processing your payment for the Service Subscription Fee at the commencement of your Service Subscription. By subscribing to a Service Subscription, you authorize Baselane to process your payment (including the Service Subscription Fees) through your Payment Provider on a recurring, repeat basis, without further authorization from you, in accordance with the frequency set forth herein or otherwise indicated through the Service for Service Subscription plan selected by you. No contract will exist between you and Baselane for the Services until Baselane accepts your order by a confirmatory email or other appropriate means of communication.

5.2.2. Fees at Renewal. You must make any downgrade to your Service Subscriptions within the Baselane service prior to the commencement of the next Subscription Month, and such changes will take effect at the start of the next Subscription Month. Your Service Subscription Fees for renewal Service Subscription periods will be set at the then-current pricing for your selected Additional Priced Services, and you are responsible for reviewing the fees charged by Baselane prior to renewal.

5.2.3. AUTOMATIC RENEWAL. AFTER YOUR INITIAL SERVICE SUBSCRIPTION PERIOD, AND AGAIN AFTER ANY SUBSEQUENT SERVICE SUBSCRIPTION PERIOD, YOUR SERVICE SUBSCRIPTION WILL AUTOMATICALLY COMMENCE ON THE FIRST DAY FOLLOWING THE END OF SUCH PERIOD (EACH, A “RENEWAL COMMENCEMENT DATE”) AND CONTINUE FOR AN ADDITIONAL EQUIVALENT PERIOD, AT BASELANE’S THEN-CURRENT PRICE FOR SUCH SERVICE SUBSCRIPTION. YOUR SERVICE SUBSCRIPTION WILL REMAIN IN FULL FORCE AND EFFECT UNTIL TERMINATED IN ACCORDANCE WITH THIS AGREEMENT. IF YOU WISH TO CHANGE OR TERMINATE YOUR SERVICE SUBSCRIPTION, YOU MAY DO SO VIA YOUR ACCOUNT OR BY CONTACTING BASELANE AT SUPPORT@BASELANE.COM.YOU AGREE THAT YOUR ACCOUNT WILL BE SUBJECT TO THIS AUTOMATIC RENEWAL FEATURE UNLESS YOU CANCEL YOUR SERVICE SUBSCRIPTION PRIOR TO THE COMMENCEMENT OF THE NEXT SUBSCRIPTION MONTH (OR IN THE EVENT THAT YOU RECEIVE A NOTICE FROM BASELANE THAT YOUR SERVICE SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED, YOU WILL HAVE FIFTEEN (15) DAYS FROM THE DATE OF THE BASELANE NOTICE TO CANCEL YOUR SUBSCRIPTION), BY CONTACTING SUPPORT@BASELANE.COM.

If you cancel your Service Subscription, you may use the applicable Paid Service until the end of your then-current Service Subscription period; after that, your access to the applicable Paid Services will be restricted. Once you cancel your Service Subscription, your Service Subscription will not be renewed after your then-current Service Subscription period expires. However, you will not be eligible for a prorated refund of any portion of the Service Subscription Fees paid for the then-current Service Subscription period.


5.3. Non-Recurring Paid Services: Fees associated with non-recurring Additional Paid Services (the “Non-Recurring Service Fees”) are charged upon each use of the Non-Recurring Additional Paid Service.. Repeat uses of a Non-Recurring Additional Paid Service will incur repeat Non-Recurring Service Fees per use. Each Non-Recurring Paid Service is governed by specific terms and conditions, and associated fees will be charged based on the nature and scope of the service selected.

a. Tenant Screening Services: Baselane offers Tenant Screening Services to assist landlords in evaluating prospective tenants. Tenant Screening Services are a Third-Party Service offered via Boom Pay. By utilizing these services, you agree to the following terms:

            • Purpose of Tenant Screening Services: Tenant Screening Services are provided to landlords solely for evaluating prospective tenants in connection with their rental applications. Any information obtained through these services must be used in compliance with applicable laws, including but not limited to the Fair Credit Reporting Act (FCRA) and state-specific tenant screening laws. The use of these services for any other purpose is strictly prohibited. Baselane provides these services as a facilitation platform and does not assume responsibility for legal compliance on behalf of users.
            • Scope of Services: The Tenant Screening Services include, but are not limited to, ID verification, credit reports, criminal reports, eviction reports, and income verification (collectively, “Reports”). These Reports are prepared using information sourced from third-party partners and are not created or verified by Baselane. The accuracy, completeness, and reliability of the information in the Reports are the responsibility of the third-party partners. By using Baselane’s Tenant Screening Services, you acknowledge and agree that you will have no claim against Baselane arising out of or in connection with the accuracy or currency of any content, data, or information contained in any report.
            • Consent Requirements: Before requesting a Report, landlords must obtain explicit, written consent from the prospective tenant. By submitting a request for a Report, you certify that such consent has been obtained. Baselane or its partners may request proof of tenant consent at any time. Failure to provide proof of consent may result in suspension or termination of access to Tenant Screening Services.
            • Access to Reports: Reports will be accessible in the landlord’s account for a period of 30 days from the date of purchase. After this period, Reports will be removed from the account. If additional access is required, users may contact Baselane support for assistance.

b. Lease Creation and Document E-Sign: The lease creation and document e-signature features are offered through Baselane in partnership with third-party service provider Rocket Lawyer. These additional paid services allow a user to create state-specific lease agreements and initiate an e-signature of a lease document or other document of their choosing. By utilizing these services, you agree to the following terms:

            • Third-Party Governance: Users are subject to the Provider’s own terms of service (e.g. Rocket Lawyer Terms of Service), including all disclaimers, limitations of liability, and privacy practices therein. If you have questions, disputes, or requests regarding lease creation, document content, or e-signature processes, you should address them directly to the Provider. Baselane does not control, review, or endorse the content or functionality made available by the Provider, nor do we guarantee its performance or compliance with applicable laws.
            • No Legal Advice: Baselane and the Provider are not law firms, and none of the services provided constitute legal advice or create an attorney-client relationship. All documents generated or electronically signed via the Lease Creation and Document E-Sign features are intended for general informational purposes, and the adequacy, legality, and enforceability of such documents may vary under applicable state or local laws. You are encouraged to consult with a licensed attorney in your jurisdiction for any legal advice or guidance.

c. Other Non-Recurring Services: From time to time, Baselane may offer additional one-time or pay-per-use services directly or through a Provider, which will be subject to these general Payment Terms as well as any additional service-specific terms presented at purchase.

5.4. Failure to Pay. If Baselane is unable to process your Fees for Additional Services when due, (a) you agree to pay all amounts due on your Account upon demand and/or (b) you agree that Baselane may either terminate or suspend your Additional Services or access to the Services and continue to attempt to process your payment until payment is received. Upon receipt of payment, your Account will be reactivated and for purposes of automatic renewal.

5.5. Processing in Baselane’s Sole Discretion. Baselane may refuse to process, void, rescind, or issue a credit for requested Additional Services if we believe, in our sole discretion, that doing so is necessary to protect us, our business, our users, or any third parties, including without limitation if we believe that you may be (a) impersonating another person; (b) violating the intellectual property or other rights of any entity; or (c) committing any fraudulent act; or (d) providing any information that we may otherwise reject for any or no reason in our sole discretion.
